By tapping “I Agree,” clicking “Accept,” creating an Account, or using the Services in any way, you enter into a legally binding contract with Go Fitness Technology Inc. and agree to all terms of this Agreement. If you do not agree, do not use the Services.

1. About GoGym and This Agreement

1.1 Who We Are

The GoGym mobile application (“App”), website at gogym.ph (“Website”), and all related services (collectively, the “Services”) are operated by Go Fitness Technology Inc., a corporation organized under the laws of the Republic of the Philippines, with registered address at 5048 P Burgos, Poblacion, Makati, Metro Manila (“GoGym,” “Company,” “we,” “us,” or “our”). GoGym operates a network of fitness facilities under the “GoGym” brand across the Philippines.

1.2 What This Agreement Covers

These Terms of Use and Membership Agreement (“Agreement”) govern your access to and use of the Services, including purchasing and using any GoTry Day Pass, GoEasy Membership, GoLive Membership, GoTrain Package, specialty program, App Store product, or any other GoGym product or feature — including App tools such as the Digital Library, Progress Assessments, and in-app feedback forms. This Agreement is an electronic contract enforceable under Republic Act No. 8792 (Electronic Commerce Act of 2000).

1.3 Additional Policies

This Agreement incorporates GoGym’s Privacy Policy, available at https://gogym.ph/privacy-policy, which governs the collection and processing of your personal data. GoGym may also publish supplementary terms for specific products, promotions, or programs; those supplementary terms form part of this Agreement when applicable. In case of conflict, supplementary terms govern for the specific product or program they cover.

2. Definitions

When capitalized in this Agreement, the following terms have the meanings set out below:

“Access Tier”The level of GoGym Fitness Center access granted to a GoGetter under their active Membership, determined exclusively by the tier classification of their Home Club — not by the type of Membership package selected. All Membership packages (GoEasy and GoLive) purchased at a given GoGym location carry that location's Access Tier. See Section 5.6.
“Account”Your registered GoGetter profile on the GoGym App or Website.
“Agreement”These Terms of Use and Membership Agreement, including the GoGym Privacy Policy and all supplementary terms.
“App”The GoGym mobile application available on iOS, Android, and other platforms.
“Boxing/Muay Thai Program”A GoGym specialty program offering boxing or Muay Thai training, led by internal or External Instructors.
“Branch”A GoGym fitness facility — whether Corporate, Co-Owned, or Franchise — that is part of the GoGym network.
“Coach”A certified personal trainer assigned to deliver GoTrain sessions to a GoGetter.
“Corporate Branch”A GoGym fitness facility directly and wholly owned and operated by Go Fitness Technology Inc.
“Co-Owned Branch”A GoGym fitness facility jointly owned by GoGym and one or more co-investors. Where GoGym holds a controlling interest (more than 50% ownership), the Co-Owned Branch is managed directly by GoGym. Where GoGym holds a minority interest, management may be determined by the co-owners based on their governance arrangements.
“Digital Library”The in-app collection of workout guides, exercise tutorials, nutritional information, and general fitness content made available through the GoGym App.
“External Instructor”A fitness instructor or trainer engaged by GoGym as an independent contractor, not a GoGym employee.
“Fitness Center Tier”The tier classification of a specific GoGym Branch — GoGym (Base), GoGym Plus, or GoGym Premier — which determines the Access Tier applicable to Memberships purchased at that Branch.
“Franchise Branch”A GoGym fitness facility wholly owned and operated by an independent GoGym Franchisee.
“GoGetter”A registered user of the GoGym Services.
“GoGym Franchisee”An independent third party that has been granted a franchise license to operate a GoGym fitness facility under the GoGym brand.
“GoCoins”GoRewards currency earned directly or converted from GoPoints. Each GoCoin has a reference redemption value of PHP 1.00 within the GoRewards Program. GoCoins are not cash, legal tender, or a financial product.
“GoEasy Membership”A GoGym membership (1-Month, 1-Month Autodebit, or 3-Month) purchased at any GoGym Branch, carrying the Access Tier of the Home Club.
“GoLive Membership”A GoGym membership (6-Month or 12-Month) purchased at any GoGym Branch, carrying the Access Tier of the Home Club.
“GoPoints”GoRewards engagement credits earned through qualifying fitness activities and achievements. GoPoints have no standalone monetary value.
“GoRewards”GoGym's closed-loop loyalty program consisting of GoPoints and GoCoins, governed by Section 19.
“GoTrain Package”A prepaid bundle of personal training sessions with a GoGym-certified Coach.
“GoTry Day Pass”A single-day access pass to a designated GoGym Branch, limited to a maximum of three (3) passes per Account. See Section 6.
“Guardian”A parent or legal guardian who accepts this Agreement on behalf of a Minor GoGetter.
“Home Club”The specific GoGym Branch from which a GoGetter purchases their Membership. The Home Club determines: (a) the GoGetter's Access Tier; and (b) the GoGetter's primary access facility for Base-tier GoGetters. See Section 5.7.
“Membership Fees”All fees payable for a Membership, GoTrain Package, specialty program, or other GoGym product.
“Membership Period”The duration of an active Membership from the purchase or activation date to its expiry or cancellation.
“Minor GoGetter”An individual who is at least fifteen (15) but below eighteen (18) years of age and enrolled in the Services with Guardian consent.
“Payment Processor”A third-party payment service provider authorized by GoGym to process payment transactions through the App.
“Progress Assessments”The in-app feature that allows GoGetters to record, track, and monitor personal fitness metrics.
“Renewal Date”The date on which an auto-renewing GoEasy 1-Month Autodebit Membership is automatically charged for the next billing cycle.
“Services”All features, products, content, and functions offered through the GoGym App and Website.
“User Content”Any content, reviews, feedback, images, or data you voluntarily submit or post through the Services.

3. Acceptance of Terms

3.1 How You Accept

By tapping “I Agree,” clicking “Accept,” creating an Account, or using the Services in any way, you enter into a legally binding contract with Go Fitness Technology Inc. under Republic Act No. 8792 (Electronic Commerce Act of 2000). If you do not agree to all terms of this Agreement, you must not use the Services.

3.2 Electronic Consent

By accepting this Agreement, you consent to receive billing notices, policy updates, and communications from GoGym in electronic form via email, push notification, in-app message, or Website posting. You may withdraw this consent by closing your Account at help@gogym.ph, but withdrawal does not affect obligations already incurred.

3.3 Capacity

By accepting this Agreement, you confirm that: (a) you are at least eighteen (18) years of age, or are a Minor GoGetter whose Guardian has accepted this Agreement under Section 17; (b) you have full legal capacity to enter into a binding contract under Philippine law; and (c) your use of the Services is not prohibited by any applicable law or court order.

4. Eligibility and Account Registration

4.1 Who May Register

The Services are available to: (a) individuals who are at least eighteen (18) years of age; and (b) individuals who are at least fifteen (15) but below eighteen (18) years of age (Minor GoGetters), provided a Guardian has executed the Minor Participant Consent and Liability Waiver Form. Individuals below fifteen (15) years of age may not use the Services under any circumstances.

4.2 One Account Per Person; Unique Identifier Requirement

Each individual may hold only one (1) Account. GoGym’s system uses a combination of email address and mobile phone number as unique identifiers. If you attempt to register using an email address or mobile phone number already associated with an existing Account — even if the other identifier differs — the system will not permit a new Account to be created. If you believe this is an error (for example, because your phone number was previously used by another person), contact help@gogym.ph for verification and resolution. GoGym reserves the right to merge or close duplicate Accounts without prior notice.

4.3 Accurate Information

You agree to provide accurate, current, and complete information when registering and to promptly update your Account if your information changes. GoGym reserves the right to verify your information and to refuse or suspend any Account where information is found to be inaccurate, incomplete, or fraudulent.

4.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials, Check-In QR Code, and all other Account access mechanisms. You are responsible for all activity conducted under your Account. Notify GoGym immediately at help@gogym.ph if you become aware of any unauthorized access to or use of your Account.

4.5 Account Sharing Prohibited

ACCOUNT SHARING IS STRICTLY PROHIBITED

Your Account — including your login credentials, Check-In QR Code, and all access mechanisms — is for your sole personal use. Sharing your Account with any other person is a material breach of this Agreement. GoGetters found to have shared their Account or QR Code may be subject to: (a) a formal warning; (b) a financial penalty as determined by GoGym; (c) temporary suspension of all facility and App access; or (d) permanent termination of their Membership and Account without refund, at GoGym’s sole discretion. GoGym may detect Account sharing through check-in records, QR code scan data, access pattern analysis, and other technical indicators.

4.6 Account Not Transferable

Your Account is personal to you and is not transferable, except that a Membership (not the Account itself) may be transferred to another person with GoGym Corporate’s prior approval, as set out in Section 15.

5. GoGym Branch Network, Access Tiers, and Check-In

5.1 What GoGym Provides

GoGym provides a digital platform through which GoGetters can discover and access GoGym fitness facilities across the Philippines; purchase and manage memberships, day passes, training packages, and specialty programs; and participate in GoGym’s rewards and community programs.

5.2 Branch Network Overview

GoGym operates a network of fitness facilities across the Philippines, classified into three types. Understanding which type of Branch you are visiting matters because it affects GoGym’s level of direct responsibility:

Co-Owned BranchCo-owned by GoGym and one or more co-investors. Where GoGym holds a controlling interest (more than 50%), the Branch is GoGym-managed and GoGym bears full operational responsibility equivalent to a Corporate Branch. Where GoGym holds a minority interest, management may be determined by the co-owners and GoGym's responsibility is proportionate to its ownership stake. As of the effective date of this Agreement, all Co-Owned Branches are managed by GoGym.
Franchise BranchWholly owned and operated by an independent GoGym Franchisee under a franchise agreement. GoGym is not the operator of Franchise Branches; the franchisee is solely responsible for day-to-day operations, staffing, equipment, and service quality.

5.3 GoGym’s Role for Franchise Branches

With respect to Franchise Branches, and with respect to any Co-Owned Branch where GoGym holds a minority interest, GoGym acts as a limited payment transmitting agent for the sole purpose of receiving your payment and transmitting it to the relevant Branch. Payment made through the App is treated as payment made directly to that Branch. GoGym does not act as a co-principal, guarantor, or insurer for the services of those Branches. For GoGym-managed Co-Owned Branches (where GoGym holds a controlling interest), GoGym’s responsibility is equivalent to that of a Corporate Branch.

5.4 No Warranty for Franchise and Minority Co-Owned Branches

GoGym exercises care in selecting its network partners and may establish brand and quality standards. However, GoGym does not guarantee the quality, safety, cleanliness, equipment condition, staffing, or availability of any Franchise Branch or Co-Owned Branch not managed by GoGym. Your use of those facilities is at your own risk and is subject to both this Agreement and any additional rules posted at that facility.

5.5 Network Changes

GoGym may add, modify, or remove Branches from its network at any time. GoGym will endeavor to provide reasonable advance notice of permanent Branch closures and will process affected memberships under Section 13.

5.6 Fitness Center Access Tiers

GoGym Fitness Centers are classified into three tiers. Your Access Tier is determined solely by the Fitness Center Tier of your Home Club — the Branch from which you purchased your Membership. This means that any Membership package (GoEasy 1-Month, GoEasy 1-Month Autodebit, GoEasy 3-Month, GoLive 6-Month, or GoLive 12-Month) purchased at a given Branch carries that Branch’s tier, regardless of which package is selected.

GoGym PlusAll GoGym Base-tier and GoGym Plus-tier Fitness Centers. GoGetters with a Plus-tier Home Club may visit any Base or Plus Branch.
GoGym PremierAll GoGym Fitness Centers without restriction. GoGetters with a Premier-tier Home Club enjoy full network access across all Branches.

Example: A GoGetter who purchases any Membership (GoEasy or GoLive) at a GoGym Premier Branch receives Premier-tier access — able to visit any GoGym location in the network for the entire term. A GoGetter who purchases a GoLive 12-Month Membership at a GoGym (Base) Branch is limited to that specific Branch for the entire term, regardless of the Membership duration selected.

5.7 Home Club

Your Home Club is the specific GoGym Branch at which you purchase your Membership. Your Home Club determines your Access Tier and — for Base-tier GoGetters — your exclusive access facility for the entire Membership Period. The GoGym App will confirm your Home Club and Access Tier at the time of purchase. For questions about your Home Club or Access Tier, contact help@gogym.ph.

5.8 Home Club Reassignment

GoGym monitors GoGetter check-in patterns to maintain accurate access records. If GoGym’s verified check-in data indicates that a GoGetter has been using a Branch other than their designated Home Club as their primary access facility over a sustained period, GoGym may, at its discretion, reassign that GoGetter’s Home Club to the Branch they are primarily using and notify them by email or in-app message. Consequences of reassignment may include an adjustment to the applicable membership rate if the new Home Club carries a different rate. If you believe a reassignment is incorrect, contact help@gogym.ph within fourteen (14) days of the notification. Reassignments not disputed within fourteen (14) days are final.

5.9 Mandatory Check-In and QR Code Access

MANDATORY CHECK-IN POLICY

Access to all GoGym Fitness Centers is subject to a mandatory check-in process. Each active GoGetter is assigned a unique digital Check-In QR Code via the GoGym App. You must present your QR Code for scanning by Branch staff upon each visit. Entry will be refused if: (a) your QR Code cannot be verified; (b) your Membership is inactive, expired, or suspended; (c) the Branch is outside your Access Tier; or (d) your Account has been suspended for any reason. You may not use another GoGetter’s QR Code or allow your own QR Code to be scanned on behalf of another person. Misuse of a QR Code constitutes Account Sharing and is subject to the penalties in Section 4.5.

6. GoTry Day Pass

6.1 What It Is

The GoTry Day Pass is a single-day access pass that grants one (1) GoGetter unlimited access to a designated GoGym Branch for twenty-four (24) hours from the time of activation. GoTry Day Passes are designed exclusively as a trial for individuals who wish to experience a GoGym Branch before committing to a Membership. Each GoTry Day Pass is valid at a single GoGym Branch, which the GoGetter selects at the time of purchase; different passes may be used at different GoGym Branches.

6.2 Three-Pass Account Limit

GENTRY DAY PASS LIMIT — THREE (3) PASSES PER ACCOUNT

A maximum of three (3) GoTry Day Passes may be purchased and used per Account over the lifetime of the Account. This limit reflects the trial nature of the GoTry Day Pass. Three visits to GoGym facilities — each at a Branch of the GoGetter’s choosing — is considered sufficient to make an informed decision about Membership. GoGetters who have used all three (3) available GoTry Day Passes and wish to continue accessing GoGym facilities must purchase a GoEasy or GoLive Membership.

6.3 Conditions of Use

GoTry Day Passes: (a) are non-recurring and expire twenty-four (24) hours from activation; (b) are valid only at the specific Branch selected at the time of purchase; (c) are non-transferable; (d) are non-refundable once activated; and (e) do not earn GoPoints under the GoRewards Program. An unactivated GoTry Day Pass purchased in error may be considered for a credit or refund under Section 13.

7. GoEasy and GoLive Memberships

7.1 Available Memberships

GoGym currently offers the following Membership packages through the App at all GoGym Branches. The current prices and availability of each package at a specific Branch are displayed in the App at the time of purchase and are subject to change. The Access Tier applicable to any Membership is determined by the Fitness Center Tier of the Home Club — not by the package type:

Access Tier Note

Your Access Tier (Base, Plus, or Premier) is not determined by which package you select, but by the tier of your Home Club. Any Membership package purchased at a GoGym Premier Branch carries Premier-tier access; any Membership package purchased at a GoGym (Base) Branch is restricted to that specific Branch. See Section 5.6 for the full tier table.

7.2 Payment Terms

All Memberships are payable in full at the time of purchase, except for the GoEasy 1-Month Autodebit which is charged monthly on a recurring basis. All payments must be made through the GoGym App as set out in Section 11. GoGym’s Payment Processors may offer installment or deferred payment options at their discretion; those arrangements are between you and the Payment Processor and do not affect your payment obligation to GoGym.

7.3 Auto-Renewal: GoEasy 1-Month Autodebit

IMPORTANT — AUTO-RENEWAL: GoEasy 1-Month Autodebit

The GoEasy 1-Month Autodebit renews automatically every month on your Renewal Date until you cancel. By purchasing it, you authorize GoGym to charge the then-current monthly fee to your saved payment method each month. GoGym will send a reminder at least three (3) days before each Renewal Date. To stop auto-renewal, cancel via the App (Account > Membership > Cancel) or contact help@gogym.ph at least twenty-four (24) hours before your Renewal Date.

PRICE CHANGE NOTICE: GoGym will provide at least thirty (30) days’ advance notice by email or in-app message of any change to the GoEasy 1-Month Autodebit recurring fee before the new rate takes effect. You may cancel at any time before the new rate applies if you do not accept the change.

7.4 GoEasy 1-Month Autodebit — Minimum Two-Month Commitment

The GoEasy 1-Month Autodebit requires a minimum commitment of two (2) consecutive billing months from the date of first activation. The GoEasy 1-Month Autodebit carries a lower per-month fee than the non-recurring GoEasy 1-Month because it is designed for GoGetters who commit to recurring membership. If you cancel the GoEasy 1-Month Autodebit before completing two (2) full billing months, GoGym reserves the right to: (a) charge the second month’s fee before processing the cancellation; or (b) charge the difference between the GoEasy 1-Month Autodebit rate and the standard GoEasy 1-Month rate for the first month. Cancellations received after the second billing month are processed in accordance with Section 12.2. GoGym will clearly communicate this minimum commitment at the time of purchase.

7.5 Conditions of Access

Access to GoGym facilities under any Membership is subject to: (a) your Access Tier as determined by your Home Club’s tier (Section 5.6); (b) the mandatory check-in process (Section 5.9); (c) operating hours at each Branch; (d) facility capacity limits; and (e) temporary closures for maintenance, emergencies, or other legitimate reasons. GoGym does not guarantee uninterrupted or unlimited access.

7.6 GoLive Pause Entitlement

GoGetters holding an active GoLive 6-Month or GoLive 12-Month Membership are entitled to request a Membership Pause, subject to Section 14. GoEasy Memberships (all variants) may be considered for a pause on a case-by-case basis as set out in Section 14.

7.7 Membership Upgrades, Downgrades, and Home Club Changes

Upgrades, downgrades between Membership packages, and changes of Home Club are not available as mid-term options during an active Membership Period. To change your Membership package or Home Club, you must allow your current Membership to expire at the end of its term (or cancel it subject to the applicable fee under Section 12.6) and purchase a new Membership at the desired package or location. GoGym may introduce upgrade, downgrade, and Home Club change functionality in the App in the future; when available, such features will be governed by supplementary terms published in the App.

8. GoTrain Personal Training

8.1 GoTrain Packages

GoTrain Packages are prepaid bundles of one-on-one personal training sessions with a GoGym-certified Coach, available in a range of session sizes as displayed in the App. All GoTrain Packages are payable in full at the time of purchase. GoTrain Packages are available only to GoGetters who hold an active GoEasy or GoLive Membership at the time of purchase and throughout the use of the Package.

8.2 Coach Assignment

When purchasing a GoTrain Package, you may select your preferred Coach from those available at your Branch. GoGym will endeavor to honor your preference; however, GoGym reserves the right to assign or reassign a qualified substitute Coach if your selected Coach is unavailable due to illness, departure, scheduling conflict, or other legitimate reason. GoGym will notify you of any reassignment and offer the option to request a different available Coach.

8.3 Session Validity

GoTrain sessions must be used within twelve (12) months from the date of purchase, unless otherwise specified in the App at the time of purchase. Sessions not used within the validity period expire and are non-refundable, except as provided in Section 13.

8.4 Cancellation and No-Show Policy

To reschedule or cancel an individual GoTrain session, you must notify your Coach or the Branch at least twenty-four (24) hours in advance through the App. Sessions cancelled with less than twenty-four (24) hours’ notice, or where you do not attend without notice (no-show), will be deducted from your GoTrain Package balance as a used session and are non-refundable. GoGym reserves the right to update the cancellation notice period with reasonable advance notice.

8.5 Not Medical Treatment

GoTrain sessions provide general fitness coaching and training guidance only. They do not constitute medical treatment, physiotherapy, or rehabilitation. Coaches are not licensed medical or healthcare professionals. Consult a physician before commencing personal training if you have any health concerns. See Section 16 for your health declaration and assumption of risk.

9. Specialty Programs — Boxing, Muay Thai, and Group Classes

9.1 Boxing and Muay Thai Programs

GoGym offers Boxing and Muay Thai training programs at select Branches. These are combat sports involving a materially higher level of physical contact and risk than standard gym activities. By enrolling in any Boxing or Muay Thai program, you acknowledge the additional inherent risks involved, including without limitation: impact injuries, bruising, cuts, muscle sprains, joint injuries, and in rare cases concussion or head injury. The assumption of risk in Section 16.4 applies with particular force to combat sports programs.

9.2 Safety Requirements — Combat Sports

GoGetters participating in Boxing or Muay Thai programs must: (a) wear all required protective equipment as instructed by the program Coach or Instructor (including, where applicable, hand wraps, gloves, mouthguard, and headgear); (b) participate only in supervised sessions; (c) disclose any existing head, neck, or cardiovascular conditions before commencing; and (d) follow all safety instructions at all times. GoGym reserves the right to remove any GoGetter who fails to comply.

9.3 Group Classes

GoGym offers group fitness classes such as Zumba and similar programs at select Branches. Classes may be led by GoGym’s internal staff or by External Instructors. All group fitness participants are subject to the health declaration and assumption of risk in Section 16.

9.4 External Instructors

Some specialty classes and programs are led by External Instructors engaged by GoGym as independent contractors, not GoGym employees. GoGym is not liable for the acts, omissions, conduct, instructions, or advice of External Instructors beyond what is required under applicable Philippine law. External Instructors may have their own waivers that GoGym may ask you to sign before participating in their sessions.

10. App Store and Physical Products

10.1 GoGym Store

The GoGym App includes a store section (the “GoGym Store”) through which GoGetters may purchase branded merchandise, fitness accessories, supplements, and food and beverage products (including protein bars and sports drinks) from participating GoGym Branches.

10.2 Pick-Up Only

Physical product orders placed through the App are for pick-up at the designated Branch unless delivery options are expressly offered. GoGym does not currently offer shipping or home delivery for physical products. By purchasing a physical product, you agree to collect it within the period specified at the time of purchase.

10.3 Food Safety Compliance

All food and beverage products sold by GoGym comply with applicable Philippine food safety standards under Republic Act No. 10611 (Food Safety Act of 2013). If you experience an adverse reaction to any GoGym product, discontinue use immediately and contact help@gogym.ph.

10.4 Returns and Exchanges

Physical products may be returned or exchanged if they are defective, damaged upon receipt, or materially different from the product description, provided you report the issue within forty-eight (48) hours of purchase. Change-of-mind returns are not accepted. Food and beverage products that have been opened cannot be returned for hygiene reasons, unless defective.

11. Billing, Payment, and Promotions

11.1 Prices and VAT

You agree to pay all Membership Fees and other applicable charges for products you purchase, as displayed in the App at the time of purchase. All prices are in Philippine Pesos (PHP) and are inclusive of applicable VAT at the prevailing rate unless otherwise stated. Prices are subject to change; the applicable price will be displayed before you confirm any transaction.

11.2 Payment Through the GoGym App

All payments for GoGym products and services must be made through the GoGym App as the primary and required payment method. The App processes payments through GoGym’s authorized Payment Processors. GoGym accepts the payment channels supported by its Payment Processors and displayed in the App at the time of transaction, which may include major credit cards, debit cards, GCash, Maya, and other approved channels. By providing payment information in the App, you authorize the applicable Payment Processor to charge the stated amounts to your selected payment method, and you represent that you are authorized to use that payment method.

11.3 Payment at Time of Purchase

All GoGym products — including GoEasy and GoLive Memberships, GoTrain Packages, GoTry Day Passes, specialty programs, and physical products — are payable in full at the time of purchase, except for the GoEasy 1-Month Autodebit, which is charged monthly as described in Section 7.3.

11.4 Billing Errors and Disputes

If you believe GoGym has charged you incorrectly, notify us at help@gogym.ph within sixty (60) days of the transaction date. GoGym will investigate and, if an error is confirmed, will credit or refund the overcharged amount. GoGym reserves the right to correct billing errors at any time. See also Section 13.3 (Administrative and Clerical Error Refunds).

11.5 Failed Auto-Renewal Charges

If an auto-renewal charge for the GoEasy 1-Month Autodebit fails, GoGym may: (a) retry the charge up to three (3) times within seven (7) days; (b) suspend your membership access until payment is received; and (c) cancel the auto-renewal if payment is not received within fifteen (15) days. GoGym will notify you of a failed payment via email or the App.

11.6 Chargebacks

If you initiate a chargeback or payment reversal with your bank or payment provider, GoGym may suspend your Account while the dispute is investigated. If GoGym successfully disputes the chargeback, your Membership will not be reinstated unless GoGym agrees in writing. Initiating a chargeback in circumstances that do not qualify for a refund under Section 13 constitutes a material breach of this Agreement.

11.7 Promotions and Special Pricing

GoGym may, from time to time, offer promotional pricing, discount vouchers, bundled offers, trial memberships, partner deals, or other special pricing arrangements (collectively, “Promotions”). All Promotions are: (a) subject to their own specific terms and conditions published at the time of the Promotion; (b) valid only for the period stated; (c) strictly non-transferable — a Promotion offered to or obtained by one GoGetter does not entitle any other GoGetter to the same Promotion or equivalent benefit; (d) not combinable with other Promotions or discounts unless expressly stated; and (e) offered at GoGym’s sole discretion, and may be targeted to specific GoGetters or groups based on eligibility criteria determined by GoGym. GoGym’s Promotions comply with applicable Philippine law, including Republic Act No. 7394 (Consumer Act of the Philippines) and applicable DTI regulations. A Promotion that has expired or to which you are not entitled cannot be applied retroactively.

12. Cancellation

12.1 How to Cancel

You may cancel any Membership at any time by: (a) using the App (Account > Membership > Cancel); or (b) contacting help@gogym.ph. Cancellation takes effect at the end of the current Membership Period or billing cycle, unless otherwise agreed in writing. GoGym does not issue prorated refunds for unused days following cancellation, except as provided in Section 13.

12.2 Autodebit Cancellation Deadline

To prevent the next auto-renewal charge on the GoEasy 1-Month Autodebit, your cancellation request must be received at least twenty-four (24) hours before your Renewal Date. If received after that deadline, cancellation takes effect at the end of the next billing cycle and the charge for that cycle is non-refundable, subject to the minimum commitment in Section 7.4.

12.3 Cancellation of Prepaid Memberships

GoEasy 1-Month, GoEasy 3-Month, GoLive 6-Month, and GoLive 12-Month Memberships may be cancelled at any time. Cancellation ends ongoing obligations but does not automatically trigger a refund of prepaid fees. Refund requests for cancelled Memberships are evaluated under Section 13.

12.4 GoTrain and Specialty Programs

You may cancel an unused or partially used GoTrain Package or specialty program enrollment at any time by contacting help@gogym.ph. No automatic refund is issued on cancellation; a refund request may be submitted under Section 13 and will be evaluated on a case-by-case basis.

12.5 Termination by GoGym

GoGym may suspend or terminate your Account and access with or without notice if: (a) you breach this Agreement; (b) your conduct violates Section 18 (Facility Rules and Conduct); (c) a payment default is not remedied within fifteen (15) days; (d) you provide false information; or (e) GoGym determines, in its reasonable discretion, that continued access is inconsistent with the safety or welfare of other GoGetters or staff. Termination for cause does not entitle you to a refund.

12.6 Administrative Cancellation Fee

All Membership cancellation requests are subject to an administrative processing fee of PHP 250.00. This fee is charged at the time GoGym processes the cancellation request and is non-refundable regardless of the outcome of any associated refund request. The fee reflects the administrative cost of account processing and is separate from any refund amounts otherwise due under Section 13. The fee is waived where GoGym initiates the cancellation for its own operational reasons unrelated to the GoGetter’s conduct.

13. Refund Policy

13.1 General No-Automatic-Refund Policy

GoGym does not issue automatic refunds for any product — including Memberships, GoTrain Packages, GoTry Day Passes, specialty programs, or physical products — upon cancellation or non-use. All refund requests, other than those for administrative or clerical errors under Section 13.3, are reviewed and decided on a case-by-case basis by GoGym Corporate in accordance with this Section.

13.2 How to Request a Refund

To submit a refund request, email help@gogym.ph with: (a) your full name and Account email; (b) the specific product or transaction; (c) the reason for the request; and (d) all supporting documentation. GoGym Corporate will evaluate and respond within thirty (30) business days of receiving complete documentation. GoGym’s decision is final and binding.

13.3 Administrative and Clerical Error Refunds

Notwithstanding Section 13.1, GoGym will issue a refund where a transaction is affected by a verifiable administrative or clerical error. Qualifying errors include: (a) a double charge — where the same transaction is charged more than once to your payment method due to a system or processing error; (b) a post-cancellation charge — where GoGym’s system charges a Membership fee after your cancellation has been confirmed and recorded in the system; and (c) a verified system error — where a technical malfunction in GoGym’s platform or Payment Processor causes an incorrect charge. To claim a refund under this Section, submit a request to help@gogym.ph with your Account details and evidence of the erroneous charge. GoGym will investigate within fifteen (15) business days. If the error is confirmed, GoGym will refund the erroneous amount to the original payment method.

13.4 Circumstances Considered for Discretionary Refunds

In evaluating a discretionary refund request under Section 13.1, GoGym Corporate will consider all relevant circumstances, including without limitation:

  • Documented Medical Emergency. A serious medical condition, illness, or physical injury certified in writing by a duly licensed physician that renders the GoGetter medically unfit to use gym facilities for the remainder of the Membership Period.
  • Death of Member. A member’s death during an active prepaid Membership Period, upon submission of a certified true copy of the death certificate and proof of legal authority by the member’s estate representative. Requests under this clause must be submitted within ninety (90) days of the date of death.
  • Force Majeure. Events entirely beyond the control of either party that render GoGym’s facilities wholly inaccessible or legally prohibited from operating for a sustained period, as described in Section 30.
  • Permanent Branch Closure. Permanent closure of the specific GoGym Branch tied to a GoGetter’s active Membership, with no comparable alternative Branch made available within a reasonable distance.
  • Unused and Unactivated Products. Products that have not been activated or used at all, where a genuine error in purchase can be demonstrated.
  • Other Compelling Circumstances. Any other circumstances GoGym Corporate determines, in its sole discretion, warrant a refund in the interest of fair dealing.

13.5 Generally Non-Refundable Items

The following are generally not eligible for refunds (though GoGym Corporate retains discretion to approve a refund in truly exceptional circumstances):

  • GoGym platform service fees, administrative fees, and payment processing fees.
  • Membership fees purchased at a promotional, discounted, or bundled rate.
  • GoTry Day Passes once activated.
  • GoTrain sessions that have been used, expired, or deducted for cancellation with less than twenty-four (24) hours’ notice or for no-show.
  • Membership fees after termination by GoGym for violation of this Agreement.
  • Fees for services already rendered or partially consumed.
  • Memberships cancelled solely due to change of mind, relocation, scheduling conflicts, or general dissatisfaction.

13.6 Refund Processing

Approved refunds will be processed to the original payment method used at the time of purchase, subject to the processing timelines of the relevant Payment Processor. GoGym is not liable for delays caused by third-party processors.

14. Membership Pause

14.1 GoLive Membership Pause — Entitlement

GoGetters holding an active GoLive 6-Month or GoLive 12-Month Membership are entitled to request a Membership Pause (also referred to as a “freeze”) at any time by contacting help@gogym.ph. A Membership Pause suspends the running of the Membership Period for the approved pause duration; it does not constitute a refund of fees. A nominal Pause Fee applies during any approved Pause Period, as set out in Section 14.4.

14.2 GoEasy Membership Pause — Discretionary

GoGetters holding a GoEasy 1-Month, GoEasy 1-Month Autodebit, or GoEasy 3-Month Membership may submit a pause request to help@gogym.ph for consideration. GoGym Corporate will evaluate GoEasy pause requests on a case-by-case basis. GoGym has sole discretion to approve, modify, or deny a GoEasy pause request, and is under no obligation to approve it. The Pause Fee in Section 14.4 applies to any approved GoEasy pause.

14.3 Pause Limits

Pause limits — including the maximum cumulative duration per Membership Period and the maximum number of separate pause requests permitted — vary by Membership package type and are displayed in the App at the time of purchase. GoLive Memberships receive a maximum cumulative pause allowance of ninety (90) days in any twelve (12)-month period, unless GoGym approves a longer period in writing. GoEasy pause allowances, where approved, are at GoGym’s discretion. Each pause request must specify a start date and an intended end date; GoGym may approve or adjust the requested dates.

14.4 Pause Fee

A nominal monthly maintenance fee of PHP 50.00 per calendar month (or pro-rated for partial months) applies during any approved Pause Period for all Membership types. This Pause Fee is charged to your payment method on file at the start of each calendar month during the Pause Period. The Pause Fee is non-refundable and does not count toward your Membership Fees. GoGym reserves the right to adjust the Pause Fee with thirty (30) days’ advance notice.

14.5 Resumption

Your Membership will automatically resume on the approved end date of the pause period. You may request early resumption by contacting help@gogym.ph. A Membership Pause does not entitle you to any refund of pre-paid Membership Fees, and GoPoints are not earned during a Pause Period (previously earned GoPoints and GoCoins are preserved).

15. Membership Transfer

15.1 Eligibility for Transfer

GoGetters who wish to transfer their unused Membership to a friend or family member may do so with GoGym Corporate’s prior written approval, subject to the requirements of this Section. The GoTry Day Pass, GoTrain Package sessions, specialty program credits, and physical product purchases are not transferable under any circumstances.

15.2 Transfer Requirements

To initiate a Membership Transfer, the transferring GoGetter must: (a) submit a written transfer request to help@gogym.ph; (b) provide the full name and contact details of the intended recipient (“Recipient”); (c) confirm that the Recipient meets all eligibility requirements in Section 4; (d) confirm the Recipient will hold the transferred Membership under their own Account; (e) acknowledge that the transfer is irrevocable once approved; (f) confirm that the Membership has a minimum of one (1) calendar month remaining from the date of the transfer request; and (g) pay the applicable administrative transfer fee at the time of request, as communicated by GoGym. GoGym may request additional documentation.

15.3 Effect of Transfer

Upon approval: (a) the Membership — with its original remaining term and applicable Access Tier — is assigned to the Recipient’s Account; (b) the transferring GoGetter’s access under that Membership ceases immediately; (c) GoPoints and GoCoins earned by the transferring GoGetter remain with the transferring GoGetter’s Account and are not transferred; (d) the transferred Membership is subject to all terms of this Agreement as applied to the Recipient; and (e) the transferred Membership cannot be transferred again.

15.4 No Cash Payments

Membership Transfers do not result in any cash payment to the transferring GoGetter from GoGym. GoGym does not facilitate the purchase, sale, or commercial exchange of Memberships between GoGetters.

16. Health, Safety, and Assumption of Risk

IMPORTANT — PLEASE READ THIS SECTION IN FULL

This section contains your voluntary health declaration and assumption of physical risk. By accessing any GoGym facility, you confirm the declarations below.

16.1 Inherent Risks of Physical Activity

Participation in physical fitness activities — including weight training, cardiovascular exercise, group fitness classes, GoTrain personal training, Boxing/Muay Thai programs, and use of gym equipment — involves inherent risks of physical injury. These risks include, without limitation, muscle strains, ligament and joint injuries, cardiovascular stress, falls, equipment-related incidents, and in rare cases serious injury or death. These risks exist even when facilities are properly maintained and activities are performed correctly.

16.2 Health Declaration

By accessing any GoGym facility, you declare that, to the best of your knowledge: (a) you do not have any medical condition, illness, physical injury, or limitation that makes participation in physical exercise unsafe or medically inadvisable; (b) you are not pregnant or recovering from surgery, serious illness, or injury without written medical clearance; and (c) you are not aware of any reason you should not engage in physical activity. If any of these circumstances applies, you agree to obtain written clearance from a licensed physician before using any GoGym facility.

16.3 Medical Clearance Recommendations

GoGym strongly recommends obtaining physician clearance before beginning any exercise program if you: (a) have not exercised regularly in the past six (6) months; (b) are forty-five (45) years of age or older; (c) have a known cardiovascular, pulmonary, metabolic, or musculoskeletal condition; (d) take prescription medication affecting cardiovascular function; or (e) have experienced chest pain, dizziness, or shortness of breath during exercise.

16.4 Assumption of Risk

In consideration of GoGym granting you access to its facilities and Services, and to the fullest extent permitted by applicable Philippine law, you:

  • voluntarily assume all risks of injury, illness, or death that may result from your participation in any activity at a GoGym facility, to the extent those risks are inherent in physical exercise or reasonably foreseeable; and
  • agree not to hold Go Fitness Technology Inc., its subsidiaries, affiliates, officers, directors, employees, Coaches, Instructors, agents, and network partners liable for claims arising from the ordinary and inherent risks of physical exercise; and
  • acknowledge that your use of GoGym facilities is entirely voluntary and at your own risk.

16.5 Combat Sports — Additional Acknowledgement

By participating in any Boxing or Muay Thai program, you additionally acknowledge: (a) the substantially higher risk of physical contact and impact injury compared to standard gym activities; (b) that you have read and comply with Section 9.2; and (c) that you voluntarily accept the heightened risk profile of combat sports training.

16.6 Limitation of This Section

Nothing in this Section limits or excludes GoGym’s liability for: (a) death or personal injury caused by GoGym’s gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded under Republic Act No. 7394 (Consumer Act of the Philippines) or other applicable Philippine law.

16.7 Emergency Procedures

GoGym Branches are required to maintain basic first aid equipment and written emergency response procedures. In the event of a medical emergency, staff will assist in contacting emergency services (911). GoGym encourages GoGetters to inform Branch staff of relevant medical conditions. GoGym does not warrant that any Branch is staffed with licensed medical personnel at all times.

17. Minor GoGetters

17.1 Minimum Age

Individuals who are at least fifteen (15) but below eighteen (18) years of age may enroll as Minor GoGetters, subject to this Section. Individuals below fifteen (15) years of age may not use the Services under any circumstances.

17.2 Guardian Consent and Waiver

Enrollment of a Minor GoGetter requires the Guardian’s prior execution of GoGym’s Minor Participant Consent and Liability Waiver Form, which: (a) grants GoGym permission to enroll the Minor GoGetter; (b) confirms the Guardian’s acceptance of this Agreement in full on behalf of the Minor GoGetter; (c) acknowledges the physical activity risks in Section 16, with particular attention to any programs the Minor GoGetter intends to join; (d) confirms the GoGetter accepts the risks of ordinary physical exercise consistent with Section 16.4; and (e) establishes the Guardian’s joint liability with the Minor GoGetter for compliance with this Agreement.

17.3 Guardian Responsibilities

The Guardian is responsible for: (a) ensuring the Minor GoGetter participates safely; (b) disclosing relevant medical conditions or limitations in writing; (c) ensuring the Minor GoGetter complies with Facility Rules; (d) accompanying the Minor GoGetter at Branches that require adult supervision of minors; and (e) notifying GoGym when the Minor GoGetter turns eighteen (18), after which the former Minor GoGetter must accept this Agreement independently.

17.4 Restrictions on Minor GoGetters

Minor GoGetters: (a) may not participate in Boxing, Muay Thai, or combat sports programs without additional written Guardian consent and GoGym’s prior approval; (b) may not use equipment designated as unsuitable for minors; and (c) are subject to any other age-related restrictions posted at GoGym facilities or communicated through the App.

17.5 Minor GoGetter Data

GoGym processes the personal data of Minor GoGetters in compliance with Republic Act No. 10173 (Data Privacy Act of 2012) and requires verifiable parental or Guardian consent. Personal data of Minor GoGetters will not be used for direct marketing without explicit Guardian consent. Full details are in the GoGym Privacy Policy, available at https://gogym.ph/privacy-policy.

18. Facility Rules, Conduct, and Prohibited Activities

18.1 General Standard

GoGym is committed to providing a safe, clean, and welcoming environment. All GoGetters must treat others with courtesy and respect, comply with posted rules and staff instructions, and conduct themselves in a manner consistent with a professional fitness environment — both within GoGym facilities and when using the GoGym App and digital services.

18.2 Equipment Use

GoGetters must: (a) use equipment only for its intended purpose and in accordance with any posted instructions; (b) return all equipment to its designated location after use; (c) wipe down equipment with provided sanitation materials before and after use; and (d) immediately report any damaged or unsafe equipment to Branch staff.

18.3 Dress Code and Hygiene

GoGetters must wear appropriate athletic footwear and workout attire on the gym floor at all times, maintain personal hygiene appropriate to a shared fitness environment, and use changing rooms for changing. Food is not permitted on the gym floor (sealed water bottles are allowed). GoGym reserves the right to refuse entry if hygiene or dress standards are not met.

18.4 Photography and Privacy

To protect the privacy of all GoGetters: (a) you may not photograph, video record, or audio record other GoGetters or staff without their explicit consent; (b) you may not publish content that identifies other GoGetters or staff without consent; and (c) GoGym may designate photography-free zones. By using GoGym facilities, you acknowledge that GoGym operates CCTV cameras in common areas for security and safety purposes, in accordance with the GoGym Privacy Policy.

18.5 Prohibited Conduct at Facilities

The following are strictly prohibited at all GoGym locations:

  • Use, possession, or distribution of illegal substances or alcohol on GoGym premises.
  • Harassment, intimidation, threats, or abuse — verbal, physical, or digital — of any GoGetter, staff, or visitor.
  • Intentional damage to or theft of GoGym property or the property of others.
  • Soliciting or conducting commercial activity on GoGym premises without prior written consent from GoGym.
  • Using another GoGetter’s QR Code or Account to gain entry (Account Sharing — see Section 4.5).
  • Deliberately falsifying health information in Progress Assessments or GoRewards activity records.
  • Any conduct that poses a health or safety risk to other GoGetters or staff.
  • Violation of any additional rules posted at any GoGym Branch.

18.6 Prohibited Digital Conduct

In connection with your use of the GoGym App and Services, you agree not to:

  • Use the Services for any unlawful purpose.
  • Create an Account on behalf of another person without their consent or impersonate any person or entity.
  • Access another GoGetter’s Account without authorization.
  • Circumvent or disable security features of the Services.
  • Introduce malware, viruses, or other harmful code into the Services.
  • Use the Services to send spam, phishing communications, or unsolicited messages.
  • Scrape or harvest data about other GoGetters.
  • Manipulate the GoRewards Program in violation of Section 19.9.
  • Engage in Account Sharing in violation of Section 4.5.
  • Use the Services for any unauthorized commercial purpose.

18.7 Guest Policy

GoGetters at eligible membership tiers may bring guests, subject to: (a) applicable guest fees as displayed in the App; (b) the guest completing any required registration or waiver; and (c) the GoGetter remaining responsible for the guest’s conduct. Guests are subject to the same Facility Rules as GoGetters.

18.8 Personal Property

GoGym is not responsible for the loss, theft, or damage of personal property at any GoGym facility. Use provided lockers where available and avoid bringing valuables. GoGym does not guarantee the security of any lockers.

18.9 Enforcement

GoGym reserves the right to: (a) ask any GoGetter who violates these rules to leave the facility immediately; (b) suspend access pending investigation of a serious incident; and (c) permanently terminate, without refund, the Membership of any GoGetter who repeatedly or seriously violates these rules or poses a risk to others.

19. GoPoints and GoCoins

19.1 About GoRewards

GoRewards is GoGym’s closed-loop loyalty and rewards program (the “GoRewards Program”) comprising two components: GoPoints (engagement credits) and GoCoins (redeemable rewards currency). Participation in GoRewards is free for all registered GoGetters.

GoRewards at a Glance

GoPoints — Earned by achieving fitness goals, earning badges, completing challenges, and other qualifying activities. GoPoints have no standalone monetary value.

GoCoins — Earned by converting GoPoints, or directly through qualifying activities such as successful referrals. Each GoCoin has a reference redemption value of PHP 1.00.

Redeem GoCoins for: discount vouchers, special GoGym offers, GoGym merchandise, and other rewards displayed in the App.

GoCoins CANNOT be withdrawn as cash and are not legal tender or a financial product.

19.2 Earning GoPoints

GoGetters earn GoPoints by completing activities designated by GoGym as eligible, which may include: (a) achieving workout goals or fitness milestones; (b) earning badges and in-app achievements; (c) completing GoGym challenges; (d) consistent gym attendance; (e) participating in GoGym community features (once available); and (f) other activities GoGym designates from time to time. Specific GoPoint values for each activity are published in the App and may be updated by GoGym with reasonable notice.

19.3 Earning GoCoins Directly

GoCoins may also be earned directly (without conversion from GoPoints) through qualifying events specified in the App, including but not limited to: (a) successful referrals — when a friend you referred purchases and activates an eligible GoGym Membership, you earn the applicable referral GoCoins; and (b) other promotional activities announced by GoGym from time to time.

19.4 Converting GoPoints to GoCoins

GoPoints may be converted to GoCoins at the conversion rate published in the App, which GoGym may update with reasonable notice. Conversion is one-way only: GoCoins cannot be converted back to GoPoints. You must have a minimum GoPoints balance as specified in the App to initiate a conversion.

19.5 Redeeming GoCoins

GoCoins may be redeemed through the GoGym App for: (a) discount vouchers applicable to GoGym product purchases; (b) special limited-time GoGym offers; and (c) GoGym merchandise and branded products. The specific redemption options, minimum amounts, and GoCoin values are published in the App and may be updated by GoGym from time to time.

19.6 Important Disclaimers

IMPORTANT — GoPoints and GoCoins are NOT cash, legal tender, or financial products.

  • GoCoins cannot be withdrawn, exchanged, or redeemed for cash under any circumstances.
  • GoPoints and GoCoins have no monetary value outside the GoRewards Program.
  • GoCoins are not transferable to another GoGetter or any third party.
  • GoCoins are not a deposit, e-money product, or regulated financial instrument under BSP regulations.
  • GoRewards is a closed-loop loyalty program for exclusive use within the GoGym platform.

19.7 Expiry

GoPoints and GoCoins expire if your Account is inactive (no login, purchase, or GoRewards activity) for twelve (12) consecutive months. GoPoints and GoCoins also lapse immediately upon permanent Account closure. GoGym will provide reasonable notice before any scheduled expiry of balances.

19.8 Program Changes

GoGym reserves the right to: (a) modify the GoRewards Program structure, including earning rates, conversion rates, redemption values, and eligible activities, with thirty (30) days’ notice; (b) cap the maximum GoPoints and GoCoins balance per Account; (c) introduce, modify, or discontinue specific rewards, challenges, or achievements; and (d) suspend or terminate a GoGetter’s GoRewards participation for abuse of the program (Section 19.9). GoGym may discontinue the GoRewards Program entirely with sixty (60) days’ notice, during which period remaining GoCoins may be redeemed.

19.9 Prohibited GoRewards Conduct

The following conduct is strictly prohibited and may result in forfeiture of all GoPoints and GoCoins, Account suspension, and legal action: (a) creating multiple Accounts to accumulate GoPoints or GoCoins fraudulently; (b) using automated tools, bots, or scripts to earn GoPoints or GoCoins; (c) purchasing, selling, trading, or commercially exchanging GoPoints or GoCoins; (d) manipulating referral programs through fake or fictitious referrals; and (e) any other conduct designed to earn GoRewards benefits in a manner inconsistent with genuine fitness engagement.

19.10 GoPoints During Pause

GoPoints are not earned during an approved Membership Pause Period. Previously earned GoPoints and GoCoins are preserved during a Pause Period.

20. Intellectual Property

20.1 GoGym’s IP

The GoGym App, Website, and all associated content, software, algorithms, user interface designs, trademarks, service marks, logos, trade names, and other intellectual property are the exclusive property of Go Fitness Technology Inc. or its licensors, protected under Republic Act No. 8293 (Intellectual Property Code of the Philippines). Nothing in this Agreement grants you any ownership interest in GoGym’s intellectual property.

20.2 Limited License to You

Subject to your compliance with this Agreement, GoGym grants you a limited, non-exclusive, non-transferable, revocable, royalty-free license to download and use the GoGym App on your personal mobile device solely for accessing the Services for your own personal, non-commercial use.

20.3 Restrictions

You may not: (a) copy, modify, distribute, or create derivative works from the App or Website; (b) reverse engineer, decompile, or attempt to derive the source code of the App; (c) remove proprietary notices or brand identifiers; (d) use GoGym’s trademarks or logos without prior written consent; or (e) use automated tools to access or index the Services.

21. User Content

21.1 Your Content

“User Content” means any reviews, feedback, images, progress data, or other content you voluntarily submit or post through the Services. You represent that your User Content does not infringe any third-party rights and does not violate any applicable law.

21.2 License to GoGym

By posting User Content, you grant GoGym a non-exclusive, royalty-free, worldwide, sub-licensable license to use, display, reproduce, adapt, and distribute your User Content solely for: (a) operating and providing the Services; and (b) promoting GoGym’s products and services on GoGym’s own platforms. GoGym will not sell your User Content to third parties or use it in third-party advertising without your consent.

21.3 Content Standards

User Content must not be false, defamatory, harassing, or harmful; must not infringe any third party’s rights; must not contain malicious code; and must not violate any applicable law. GoGym may remove User Content that violates these standards without notice.

22. Privacy and Data Protection

22.1 Privacy Policy

Your privacy matters to GoGym. GoGym processes your personal data in compliance with Republic Act No. 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations. The full details of how GoGym collects, uses, shares, retains, and protects your personal data, and how you can exercise your data rights, are set out in the GoGym Privacy Policy, available at https://gogym.ph/privacy-policy. The Privacy Policy forms an integral part of this Agreement.

22.2 Consent to Processing

By using the Services, you consent to GoGym’s processing of your personal data as described in the Privacy Policy, including data collected through Account registration, membership use, App features (including Progress Assessments and Digital Library usage), GoRewards activity, payment transactions processed by Payment Processors, and CCTV monitoring at Branch facilities.

22.3 Data Privacy Contact

For data privacy inquiries or to exercise your rights under RA 10173 (including rights to access, correction, deletion, or portability), contact GoGym’s Data Protection Officer at data@gogym.ph. Complaints may also be filed with the National Privacy Commission at privacy.gov.ph or complaints@privacy.gov.ph.

23. Third-Party Services

23.1 Third-Party Integrations

The Services integrate with or link to third-party services, including authorized Payment Processors, mapping services, analytics providers, and App Store platforms. Your use of those services is governed by their own terms and privacy policies. GoGym is not responsible for the content, accuracy, availability, or privacy practices of any third-party service.

23.2 No Endorsement

The presence of any link to or integration with a third-party service does not constitute GoGym’s endorsement of that service or any warranties as to its suitability or security.

24. Disclaimers

24.1 Services Provided As-Is

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE PHILIPPINE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. GOGYM DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

24.2 Franchise and Non-GoGym-Managed Branches

GoGym does not guarantee the quality, safety, cleanliness, equipment condition, staffing, or availability of any Franchise Branch or Co-Owned Branch not managed by GoGym. Your use of those facilities is at your own risk.

24.3 App Features — Fitness and Health Content

The Digital Library, Progress Assessments, in-app feedback forms, and any other fitness content or tools available through the GoGym App are provided for general informational and convenience purposes only. They do not constitute professional medical, nutritional, therapeutic, or clinical advice. GoGym does not warrant the accuracy, completeness, or suitability of any such content for your individual circumstances. Progress Assessment data entered into the App is stored and processed in accordance with the GoGym Privacy Policy. Submission of in-app feedback does not create any contractual obligation beyond GoGym’s standard support commitments. Always consult a qualified healthcare professional before acting on any fitness or health information.

24.4 Payment Processor Availability

GoGym does not guarantee the continuous availability or uninterrupted operation of any Payment Processor. GoGym is not liable for payment failures, delays, or errors caused by third-party Payment Processors. If payment processing is temporarily unavailable, GoGym will endeavor to notify affected GoGetters and restore access to payment services as promptly as reasonably practicable.

24.5 GoRewards Availability

GoGym makes no guarantee of the continuous availability of the GoRewards Program, specific rewards, or redemption options. GoPoints and GoCoin values are subject to change with notice.

25. Limitation of Liability

25.1 Exclusion of Indirect Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE PHILIPPINE LAW, GOGYM, ITS OFFICERS, DIRECTORS, EMPLOYEES, COACHES, INSTRUCTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, LOSS OF GOPOINTS OR GOCOINS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

25.2 Cap on Direct Liability

GOGYM’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE TOTAL MEMBERSHIP FEES ACTUALLY PAID BY YOU TO GOGYM IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM FIRST AROSE.

25.3 Statutory Carve-Outs

Nothing in this Agreement limits or excludes GoGym’s liability for: (a) death or personal injury caused by GoGym’s gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be limited under Republic Act No. 7394 (Consumer Act of the Philippines) or other applicable Philippine law.

26. Indemnification

26.1 Your Indemnity to GoGym

You agree to indemnify, defend, and hold harmless Go Fitness Technology Inc., its subsidiaries, affiliates, officers, directors, employees, Coaches, Instructors, and agents from and against any third-party claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of this Agreement; (b) any User Content you post; (c) your violation of any applicable law or third-party rights; (d) your conduct at any GoGym facility; (e) as a Guardian, your failure to comply with Section 17; (f) your abuse of the GoRewards Program; or (g) your Account Sharing in violation of Section 4.5.

27. Arbitration and Dispute Resolution

IMPORTANT — BINDING ARBITRATION

Most disputes with GoGym must be resolved through binding arbitration administered by the PDRCI. Please read this section carefully before using the Services.

27.1 Mandatory Arbitration

Except as provided in Sections 27.3 and 27.4, all disputes, controversies, or claims arising out of or relating to this Agreement, the Services, or any GoGym product — including disputes regarding validity, enforceability, interpretation, breach, or termination — shall be finally resolved by binding arbitration administered by the Philippine Dispute Resolution Center, Inc. (“PDRCI”) in accordance with its then-current arbitration rules.

27.2 Arbitration Procedures

The arbitration shall be: (a) seated in Makati City, Philippines; (b) conducted in English; (c) decided by a sole arbitrator for claims not exceeding PHP 2,000,000, and by three (3) arbitrators for larger claims; (d) governed by Philippine substantive law; and (e) decided on the papers unless the arbitrator(s) determine an oral hearing is necessary. The award shall be final, binding, and enforceable in any competent court.

27.3 Mandatory Pre-Dispute Negotiation

Before initiating arbitration, the disputing party must send written notice to the other party (to help@gogym.ph for GoGym, or to the GoGetter’s registered email) describing the dispute and the relief sought. The parties will attempt in good faith to resolve the dispute through direct negotiation for thirty (30) days before formal proceedings commence.

27.4 Exceptions — Injunctive Relief and Small Claims

Either party may seek emergency or interim injunctive relief from a Philippine court without waiving the right to arbitrate. Either party may bring claims in the appropriate Small Claims Court in Makati if within that court’s monetary jurisdiction.

27.5 Governing Law

This Agreement and all disputes are governed exclusively by the laws of the Republic of the Philippines, without regard to conflict of law principles.

27.6 Venue for Non-Arbitral Matters

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Makati City, Philippines.

28. Termination

28.1 Termination by You

You may close your Account at any time by contacting help@gogym.ph. Account closure does not affect any outstanding payment obligations. GoPoints and GoCoins lapse upon Account closure.

28.2 Termination by GoGym

GoGym may suspend or terminate your Account and access to the Services, with or without prior notice, for: (a) breach of this Agreement; (b) conduct at a GoGym facility that violates Section 18 or poses a safety risk; (c) unresolved payment default under Section 11.5; (d) provision of false or fraudulent information; (e) abuse of the GoRewards Program; (f) Account Sharing in violation of Section 4.5; or (g) any other reason GoGym determines warrants termination in its reasonable discretion. GoGym is not required to disclose its reasons for termination.

28.3 Effect of Termination

Upon termination: (a) your license to use the App is revoked; (b) access to GoGym facilities ceases immediately; (c) all GoPoints and GoCoins lapse; (d) GoGym may delete your Account and User Content, subject to data retention obligations; and (e) all provisions of this Agreement that by their nature should survive — including Sections 13, 16, 19.6, 20, 25, 26, 27, and 33 — shall continue in effect.

29. Modifications to Services

29.1 GoGym’s Right to Modify

GoGym may modify, update, suspend, or discontinue any aspect of the Services at any time, including App features, branch availability, product offerings, GoRewards structures, payment channels, and App Store inventory. GoGym will provide reasonable advance notice of significant changes. GoGym is not liable for modifications, suspensions, or discontinuances, except as set out in Section 13.

30. Force Majeure

30.1 Force Majeure Events

A “Force Majeure Event” means any event beyond the reasonable control of GoGym that prevents or materially impairs GoGym’s ability to perform its obligations, including: (a) government-mandated closures, quarantine orders, or other legal restrictions issued by national or local Philippine government authorities; (b) declared natural disasters (typhoons, earthquakes, volcanic eruptions, floods, or similar events) officially proclaimed by competent government authority; (c) acts of war, terrorism, or civil unrest; (d) epidemic or pandemic declarations by the World Health Organization or the Philippine government that specifically prohibit or substantially restrict gym operations; and (e) utility failures, infrastructure disruptions, or payment system outages beyond GoGym’s reasonable control.

30.2 Suspension of Obligations

GoGym’s obligations are suspended for the duration of a Force Majeure Event. GoGym will notify affected GoGetters as soon as reasonably practicable.

30.3 Extended Unavailability

If a Force Majeure Event prevents GoGym from providing material Services to a GoGetter for more than thirty (30) consecutive days, GoGym will offer either: (a) a Membership extension equivalent to the disruption period; or (b) a pro-rated refund for the period of confirmed unavailability, in accordance with Section 13. GoGym’s determination of the appropriate remedy is final.

31. Notices and Communications

31.1 How GoGym Communicates

GoGym may communicate with you by: (a) email to your Account address; (b) App push notifications; (c) in-app messages; or (d) Website posting. You are responsible for keeping your contact details current in your Account. Notices from GoGym take effect at the time of sending.

31.2 How to Reach GoGym

Notices to GoGym must be sent to: help@gogym.ph (membership and support matters), help@gogym.ph (legal or formal notices), or data@gogym.ph (data privacy matters). For notices requiring formal legal service, registered mail to 5048 P Burgos, Poblacion, Makati, Metro Manila is required.

32. Amendments

32.1 GoGym’s Right to Amend

GoGym may amend this Agreement at any time, subject to the following notice requirements:

  • Material amendments affecting your rights or obligations: at least thirty (30) days’ advance notice via email or in-app message.
  • Minor or administrative amendments (grammar, formatting, or clarification): at least seven (7) days’ advance notice via App notification or Website posting.
  • Amendments required by law or regulation: effective immediately, with notice as soon as practicable.

32.2 Acceptance of Amendments

Continued use of the Services after the effective date of any amendment constitutes acceptance of the amended Agreement. If you do not accept a material amendment, you may close your Account under Section 28.1 before the amendment takes effect, without penalty.

33. General Provisions

33.1 Entire Agreement

This Agreement, the GoGym Privacy Policy, and any supplementary terms for specific products or promotions together constitute the entire agreement between you and GoGym regarding the Services and supersede all prior representations, agreements, or understandings.

33.2 Severability

If any provision of this Agreement is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it valid, or severed if modification is not possible. All remaining provisions continue in full force and effect.

33.3 No Waiver

GoGym’s failure to enforce any provision at any time does not waive its right to enforce that provision in the future.

33.4 Assignment

You may not assign your rights or obligations under this Agreement without GoGym’s prior written consent, except as provided in Section 15 (Membership Transfer). GoGym may assign its rights and obligations in connection with a merger, acquisition, corporate restructuring, or sale of assets, upon reasonable notice to you.

33.5 No Partnership or Agency

Nothing in this Agreement creates any agency, partnership, joint venture, franchise, or employment relationship between you and GoGym. GoGym is not an agent of any Franchise Branch or Co-Owned Branch operator beyond its limited payment transmitting role under Section 5.3. External Instructors are independent contractors and not GoGym employees.

33.6 Language

This Agreement is in English. If a translated version is made available, the English version prevails in the event of any conflict or inconsistency.

33.7 Personal Use Only

The Services are for your personal, non-commercial use only. Any commercial use of the Services requires GoGym’s prior written consent.

33.8 Headings

Section and part headings are for convenience only and do not affect interpretation of this Agreement.

33.9 No Reliance on Future Features

GoGym may, from time to time, describe planned, upcoming, or future features, products, or service improvements through the App, Website, or other communications. Such descriptions are provided for informational purposes only and do not constitute a commitment to develop, release, or maintain any specific feature. No purchasing decision should be made in reliance on the availability of any future feature or service. GoGym may modify or abandon any planned development at any time without liability.
